Terms of Service & Enterprise Agreement
This document governs the strategic partnership between your enterprise and CubixSolution. By accessing our web properties, engaging our engineering and growth services, or utilizing the QuickDay Workforce OS, you agree to the operational and legal frameworks outlined below. We believe in absolute transparency, ethical business practices, and clear accountability.
01.Scope of Operational Services
CubixSolution provides a spectrum of high-fidelity technological services and proprietary platforms. The scope of engagement is generally defined by a mutually agreed Statement of Work (SOW) or platform subscription tier.
- Custom Software Engineering: End-to-end development of bespoke digital architectures, scalable backend systems, and high-performance frontend interfaces.
- UI/UX Design: Strategy, prototyping, and final execution of user-centric digital experiences following modern design systems.
- Digital Growth Pipelines: Implementation of analytics, conversion optimization strategies, and technical marketing infrastructure.
- QuickDay Workforce OS: Provision of our proprietary SaaS platform for workforce management, subject to specific licensing limits defined at purchase.
02.Intellectual Property & Ownership
Custom Engineering & Design
Upon receipt of full and final payment for custom services rendered under a specific SOW, all intellectual property rights, titles, and interests in the final deliverables are transferred to the Client. CubixSolution retains no ownership over custom codebases built explicitly for the Client, unless specifically utilizing pre-existing frameworks outlined below.
Proprietary Systems & QuickDay OS
CubixSolution retains all rights, title, and interest in and to its pre-existing tools, libraries, methodologies, and the QuickDay Workforce OS. Clients are granted a limited, non-exclusive, non-transferable, revocable license to utilize these proprietary systems solely for their intended internal business operations during the active term of their agreement or subscription.
03.Ethical Conduct & Acceptable Use
We mandate strict adherence to ethical usage of our platforms and services. You agree not to use CubixSolution services or platforms to:
- Host, distribute, or facilitate any illegal, fraudulent, or maliciously harmful content or activities.
- Attempt to breach, probe, or otherwise compromise the security mechanisms of our infrastructure or third-party integrations.
- Reverse engineer, decompile, or extract proprietary source code from the QuickDay OS or other licensed software products.
- Engage in practices that intentionally overload or disrupt the performance of our shared cloud architectures.
04.Client Obligations & Collaboration
The success of our enterprise partnerships relies on active and transparent collaboration.
- Timely Feedback: Providing necessary approvals, content, and feedback within the timelines specified in the project schedule to prevent blockers.
- Resource Access: Granting our engineering teams necessary access to third-party accounts, APIs, or legacy codebases required to fulfill the SOW.
- Compliance: Ensuring that any materials, data, or media provided to CubixSolution for integration are legally owned or appropriately licensed by the Client, free from copyright infringement.
05.Commercial Terms & Compensation
All financial engagements are strictly governed by the executing Statement of Work or SaaS subscription agreement. Invoices are generated according to agreed milestones or billing cycles. Standard payment terms are Net 30 days from the date of invoice issuance, unless otherwise stipulated. Late payments may incur interest charges at the maximum rate permitted by law, and continued non-payment may result in the suspension of services or platform access.
06.Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall CubixSolution, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; or (iii) unauthorized access, use, or alteration of your transmissions or content. Our total liability shall not exceed the total amount paid by you to CubixSolution in the twelve (12) months preceding the claim.
07.Governing Jurisdiction
These Terms shall be governed and construed in accordance with the laws of Rawalpindi, Pakistan, without regard to its conflict of law provisions. Any dispute arising from these terms shall be subject to the exclusive jurisdiction of the competent courts located in Rawalpindi, Pakistan.
